Article I Name

Gardner Neighborhood Association (GNA)


Article II Purpose

To represent the interests of the residents of the Gardner neighborhood.


Article III Membership

Any person who resides within the Gardner neighborhood is eligible.

The Gardner neighborhood is bounded by Interstate 280 to the North, Guadalupe River to the East, Bird Avenue to the West, and Caltrain tracks to the South.

Each adult (18 years or older) member is entitled to one (1) vote.


Article IV Officers

The officers shall consist of a President, Vice-President, Secretary, Treasurer and two Board members.

The term of office shall be one (1) year.

The President shall coordinate all Association activities, preside at meetings, and shall have the general powers of supervision and management of the Association.

The First Vice-President shall assume the duties of the President in that officer's absence. Other duties shall be performed as required by the President

The Secretary shall keep minutes of the meetings, shall be responsible for notification for meetings, shall have the responsibility of Association correspondence, at the direction of the President, and shall maintain archive files.

The Treasurer shall be custodian of the Association funds and supervise the handling of funds of any enterprises of the Association.

The Board members shall provide guidance to the other officers, and work on individual projects as decided by the Board


Article V Meetings

General meetings are held monthly on dates to be determined by the officers. A quorum for general meeting shall be ten (10) percent of the current membership

Officer meetings may be called by the officers. A quorum for officer meetings is majority of the officers.


Article VI Amendments

Amendments to the bylaws shall be presented at a general meeting and approved by a two-thirds vote of the voting members present at the general meeting


Article VI Dissolution

In the event of dissolution of the Association, its assets after payment of all indebtedness, obligations, and cost of dissolution, shall be distributed by action of the officers for one or more charitable organization, or shall be distributed to the local government for a public purpose related to the Gardner neighborhood.
